MasTec Announces Proposed Offering of $150 Million of Senior Notes Due 2017

CORAL GABLES, Fla., Jan. 16 /PRNewswire-FirstCall/ -- MasTec, Inc. (NYSE: MTZ) announced today it intends to offer, subject to market and other conditions, $150 million of senior notes due 2017 in a private placement to qualified institutional buyers in the United States in reliance on Rule 144A under the Securities Act of 1933, as amended (the "Act"), and outside the United States in reliance on Regulation S under the Act. The notes have not and will not be registered under the Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Act.

MasTec intends to use the net proceeds from the offering to redeem all of its outstanding 7.75% senior subordinated notes, due February 2008, approximately 30 days after the closing of the offering. The Company expects to use the remaining net proceeds for working capital, possible acquisitions of assets and businesses and other general corporate purposes.
