The 2009 Annual Meeting of Shareholders of MasTec, Inc. will be held on Thursday, May 14, 2009 at 9:30 a.m. local time, at the Douglas Entrance Building, South Tower, located at 806 S. Douglas Road, the 10th Floor, Royal Poinciana Conference Room, Coral Gables, Florida 33134. For directions call (305) 599-1800. At the Annual Meeting, shareholders will be asked to vote on the following proposals:

The election of Jose R. Mas(01) and John Van Heuvelen(02) as Class II directors to serve until the 2012 Annual Meeting of Shareholders;
 
2.  
The Amendment of our Amended and Restated Articles of Incorporation to increase the number of Authorized shares of our common stock to 145,000,000; and
 
3.  
Such other business as may properly be brought before the Annual Meeting, and at any adjournments or postponements of the Annual Meeting.
Vote In Person Instructions: While we encourage shareholders to vote by the means indicated above, a shareholder is entitled to vote in person at the annual meeting. Additionally, a share holder who has submitted a proxy before the meeting, may revoke that proxy in person at the annual meeting.
